Exclusive Rights License Agreement

This Exclusive Rights License Agreement is made on {CONTRACT_DATE} (“Effective Date”) by and between {CUSTOMER_FULLNAME} (hereinafter referred to as the “Licensee”), also, if applicable, professionally known as {CUSTOMER_ALIAS}, and Felproducer (hereinafter referred to as the “Licensor”).

The Licensor warrants that it controls the mechanical rights in and to the copyrighted musical work entitled {TRACK_TITLE} (“Composition”) as of and prior to the date first written above. The Composition, including the music thereof, was composed by Felproducer and registered with SUISA, ensuring compliance with Swiss copyright laws.

All licenses are non-refundable and non-transferable.

1. Master Use

The Licensor grants the Licensee an exclusive license to record vocal synchronization to the Composition, either partly or in its entirety, and substantially in its original form (“Master Recording”).

2. Mechanical Rights

The Licensor grants the Licensee an exclusive license to reproduce, duplicate, manufacture, and distribute audio recordings (“Recordings”) worldwide without limitation on the number of copies or sales.

Additionally, the Licensee is permitted to distribute unlimited digital downloads for non-commercial and non-profit use.

3. Performance Rights

The Licensor grants the Licensee an exclusive license to use the Master Recording in unlimited for-profit performances, shows, or concerts.

4. Broadcast Rights

The Licensor grants the Licensee an exclusive license to broadcast or air the Master Recording on an unlimited number of radio stations.

5. Synchronization

The Licensee is granted full authority to monetize and exploit derived works of the Composition in TV, Film, Video games, or other synchronization projects.

The Licensee may also grant non-exclusive synchronization licenses for the Composition to third parties, provided proper credit and publishing information are supplied to the granting agency.

6. Credit

The Licensee must credit the Composition in all media and performance formats using the following format:
“Produced by Felproducer”.

7. Consideration

The price for this license will be mutually agreed upon between the Licensee ({CUSTOMER_FULLNAME}) and the Licensor (Felproducer) prior to the execution of the agreement.

Payments must be made in full before the license becomes active. Failure to comply with payment terms will render the license void, and any continued use of the Composition will be considered a violation of Swiss copyright laws.

8. Indemnification

The Licensee agrees to indemnify and hold the Licensor harmless from any claims, losses, damages, or expenses (including reasonable attorney’s fees) arising from a breach of this agreement.

9. Audio Samples

The clearance of any third-party samples is the sole responsibility of the Licensee.

10. Publishing Rights

  • {CUSTOMER_FULLNAME}: 50%
  • Felproducer: 50%

Both parties retain the publishing rights as specified above.

11. Miscellaneous

This license is non-transferable and is limited to the specified Composition.

12. Governing Law

This License is governed by the laws of Switzerland, specifically in compliance with SUISA regulations, without regard to conflicts of law principles.
