Premium Trackout License Agreement

This Premium Trackout License Agreement is made on {CONTRACT_DATE} (“Effective Date”) by and between {CUSTOMER_FULLNAME} (hereinafter referred to as the “Licensee”), also, if applicable, professionally known as {CUSTOMER_ALIAS}, and Felproducer (hereinafter referred to as the “Licensor”).

The Licensor warrants that it controls the mechanical rights in and to the copyrighted musical work entitled {TRACK_TITLE} (“Composition”) as of and prior to the date first written above. The Composition, including the music thereof, was composed by Felproducer and registered with SUISA to ensure compliance with Swiss copyright laws.

All licenses are non-refundable and non-transferable.


1. Master Use

The Licensor grants the Licensee a non-exclusive license to record vocal synchronization to the Composition, either partly or in its entirety, and substantially in its original form (“Master Recording”).


2. Mechanical Rights

The Licensor grants the Licensee the right to reproduce, duplicate, manufacture, and distribute audio recordings (“Recordings”) worldwide for up to 250,000 copies (physical or digital).

The Licensee is permitted to stream the Recording online up to 500,000 audio streams on platforms such as Spotify, Apple Music, or Deezer. This license does not permit monetization on YouTube. For monetized YouTube videos, a separate synchronization license is required.


3. Performance Rights

The Licensor grants the Licensee the right to perform the Recording in both non-profit and profit performances, shows, or concerts.


4. Synchronization Rights

The Licensor grants the Licensee the right to create two (2) non-monetized music videos for use on platforms like YouTube or Vimeo, with a limit of 250,000 non-monetized video streams. For monetized video content or use in TV, film, or video games, a separate synchronization license is required.


5. Broadcast Rights

The Licensor grants the Licensee the right to broadcast the Recording on up to ten (10) radio stations.


6. Credit

The Licensee must credit the Composition in all media and performance formats using the following format:
“Produced by Felproducer”.


7. Consideration

In exchange for this license, the Licensee agrees to pay the Licensor a fee of USD 99.99. Payments must be made in full before the license becomes active.


8. Indemnification

The Licensee agrees to indemnify and hold the Licensor harmless from any claims, losses, damages, or expenses (including reasonable attorney’s fees) arising from a breach of this agreement.


9. Audio Samples

The clearance of any third-party samples is the sole responsibility of the Licensee.


10. Miscellaneous

This license is non-transferable, limited to the specified Composition, and constitutes the entire agreement between the parties.


11. Governing Law

This License is governed by the laws of Switzerland, specifically in compliance with SUISA regulations, without regard to conflicts of law principles.


12. Term

This license is valid for ten (10) years from the Effective Date mentioned above.
